1. General Provisions

1.1 These General Terms and Conditions apply universally to all offers and sales made by Massive Dynamik (hereinafter referred to as “Massive Dynamik”) to customers, regardless of their location, business type, or other characteristics, unless an exception is explicitly agreed upon in writing by Massive Dynamik.

1.2 Massive Dynamik does not recognize terms and conditions that conflict with these General Terms and Conditions, even if they are not expressly objected to or referenced in correspondence with any Massive Dynamik employee.

1.3 All goods, services, and offers are governed solely by these General Terms and Conditions, whether or not they are explicitly mentioned during commercial negotiations or separately agreed upon by the customer.

1.4 The English version of these General Terms and Conditions is the sole valid version for application, regardless of any translations.

2. Offer and Formation of Contract

2.1 Our offers are non-binding unless otherwise specified. Information provided and visual representations are merely descriptive and indicative and are not contractually binding. The purchaser must verify the proposed and guaranteed properties due to our lack of influence over application/installation conditions.

3. Submitted Documents

3.1 Title and intellectual property rights to design drawings, samples, cost estimates, and similar items remain with Massive Dynamik. These documents are to be kept confidential and may not be disclosed to third parties without explicit, specific consent from Massive Dynamik. Any granted consent does not extend to subsequent instances.

4. Prices and Terms of Payment

4.1 Prices are in EURO or Pak Rupees, ex works, with additional costs for packing. Payment is anticipated via bank transfer. The applicable legal VAT will be added to the price at the time the invoice is issued. The purchaser bears any costs related to goods in transit insurance. Partial deliveries may be invoiced separately.

4.2 Massive Dynamik reserves the right to revise prices due to increases in raw materials, manufacturing costs, or other reasons. Updated prices will apply to new inquiries and purchase orders. Existing orders may be renegotiated if prices change.

5. Delivery Times and Impediments to Delivery

5.1 Delivery times are based on current stock and production schedules and are valid only if the corresponding order is confirmed immediately.

5.2 Massive Dynamik may extend delivery times in cases of unforeseen impediments beyond its control, such as force majeure (e.g., war, fire, natural disasters) or delays in raw material supply. This extension applies to the duration of the impediment.

6. Transfer of Risk Upon Shipment

6.1 The risk of accidental loss or damage to shipped goods transfers to the customer upon dispatch from Massive Dynamik’s premises, regardless of the shipping mode or Incoterm used. For shipments organized by Massive Dynamik, shipping insurance (e.g., CIF Incoterm) must be explicitly requested by the customer before each shipment.

7. Limited Liability Warranty

7.1 The warranty term for Massive Dynamik products is 1 year from the invoice date where applicable. Complaints must be reported immediately with a detailed description of the issue, invoice number, and date. Massive Dynamik reserves the right to inspect returned goods before accepting or rejecting a warranty claim. Prior written permission is required for return shipments, and the customer bears the return transport costs.

7.2 Warranty rights do not apply to damages caused by incorrect or improper use, defective assembly, normal wear and tear, improper handling, unsuitable operating equipment, chemical or electrochemical forces, unauthorized repairs, or other factors not caused by Massive Dynamik.

7.3 In the event of a defect, Massive Dynamik may, at its discretion, refund the sales price or replace the defective goods. Any further claims, including for damage other than the purchased goods or lost profits, are excluded.

7.4 Massive Dynamik is not liable for expenses related to subsequent obligations, such as transport and material costs.

7.5 Warranties and guarantees are only valid if explicitly provided in writing. Warranty claims are not accepted from parties other than the original customer.

8. Further Provisions

8.1 All agreements between the parties regarding the execution of this Agreement must be in writing.

8.2 If any provision of these General Terms and Conditions is found to be partially or wholly invalid or void, the remaining provisions shall remain in effect. The parties agree to a contractual arrangement that achieves the economic purpose of the invalid or void provision to a reasonable extent.
